STANDARD TERMS AND CONDITIONS – Simplified main terms for rapid understanding
- Section 2: All work will follow the agreed-upon quotation detailing the scope, duration, deliverables, expenses, and any changes or additional tasks will incur extra charges with mutual agreement. The quotation shall be valid for 30 days from date on the front cover.
- Section 3: The project’s costs, discussed during initial consultations, will be detailed in the final quote and may vary with production changes, with all expenses itemised and billed, including travel at per mile and additional costs agreed upon in writing.
- Section 4: Square Daisy requires a 50% advance payment before work begins, which covers initial project expenses and may include pre-production costs, script development, and other essentials. For larger projects, alternative payment structures may be arranged. If the project is cancelled after work has commenced, costs for completed work and booked filming dates will be deducted from the advance, with any remaining balance refunded. Upon project completion, the remaining 50% of the total project cost, along with any additional chargeable items or expenses, will be invoiced.
- Section 5: The video production will follow the agreed quotation, with the client responsible for understanding it, signing the contract, and ensuring clear access for the crew. Any changes, additional filming days, or delays due to inadequate access will incur extra charges. Safety concerns may lead to withdrawal of personnel with the client bearing the costs.
- Section 6: Any extra content requested outside the initial scope will incur additional charges, requiring a new approved quotation from the client, with the additional content invoiced separately under the same terms as the original agreement.
- Section 7: Square Daisy maintains necessary insurance, while the client must secure their own coverage for property, equipment, and personnel, and will indemnify Square Daisy against related claims or damages.
- Section 8: If the client causes a production delay, they are responsible for any additional costs, and Square Daisy may invoice for completed work and incurred expenses up to the point of the delay.
- Section 10: Square Daisy allows for up to three rounds of revisions during the post-production phase of video projects, with each round comprising reasonable adjustments within the agreed project scope. Client-requested changes must stay within the initially defined scope; any exceeding changes require a new quote and mutual consent. Extra charges apply for revisions beyond the three rounds or out-of-scope amendments.
- Section 10: In the post-production process, it’s crucial for clients to designate a single point of contact, known as the “Designated Contact.” From project inception, the Designated Contact should be identified and remain consistent throughout the project lifecycle, unless both parties mutually agree otherwise. This ensures efficient communication and streamlined decision-making processes.
- Section 11: The project timeline is agreed upon in writing, with the client receiving deliverables, as web-compressed mp4 files, according to schedule, contingent on timely feedback and approval; any delays are promptly communicated, and upon project completion and final payment, the client approves the final deliverables, marking project closure.
- Section 12: Square Daisy respects copyright laws; clients must obtain permissions for materials provided; Square Daisy retains copyright over produced content, granting clients limited usage rights; until full payment, Square Daisy retains ownership; talent featured in videos can use their appearance for personal marketing.
- Section 14: Square Daisy’s production fee covers only the final edited content, and raw footage is not included by default. If the Client requests raw footage, it may be provided at Square Daisy’s discretion for an additional charge, which will be 100% of the original filming cost plus VAT. Project files (e.g., Premiere Pro, After Effects) are also not included but may be made available for an additional fee, with basic files costing 50% of the project cost and full files with IP transfer costing 100% of the project cost, excluding VAT. Custom pricing may apply for unique or complex projects, and animation graphics can be provided at Square Daisy’s discretion for an additional cost.
- Section 15: Square Daisy offers an optional Backup and Storage Service, providing secure storage for project files at no extra cost for one year, with renewal options available; data deletion occurs if not renewed, giving clients control over the decision to continue the service or delete data, with a renewal fee of £99, exclusive of VAT, for uninterrupted storage
- Section 16: Clients must pay a non-refundable 50% deposit upon accepting the quotation and signing the contract, with the remaining 50% due upon project completion and signing off; animation projects split payment equally; a £25.00 administration charge applies to cheque payments
- Section 17: Clients must pay a 50% deposit upon signing the contract to reserve their production slot, with subsequent payments due within 14 days of the invoice date, regardless of accounting constraints.
- Section 18: Square Daisy will charge interest and a 5% weekly late fee on overdue invoices as per the Late Payment of Commercial Debts (Interest) Act, 1998. The Client is responsible for collection or legal fees due to delayed payments. Delivery and usage licenses may be withheld if payments are overdue, with usage rights dependent on full payment.
- Section 19: Clients may need to pay a negotiated advance retainer fee to secure Square Daisy’s services. This fee, held in a designated account, covers future project costs and may be non-refundable. If the Client cancels, Square Daisy can retain the fee as compensation.
- Section 21: Square Daisy is not liable for any errors once the client has given written approval for content to be posted, published, or broadcasted.
- Section 23: .Cancellation Policy. In the event that the Client wishes to cancel the contract, the following policy shall apply, subject to any deduction for pre-production work already completed:
- a. Cancellation more than 15 calendar days before the scheduled commencement of filming – 25% of the deposit shall be retained by the Company.
- b. Cancellation between 6 and 15 calendar days before the scheduled commencement of filming – 50% of the deposit shall be retained by the Company.
- c. Cancellation within 5 calendar days of the scheduled commencement of filming – 100% of the deposit shall be retained by the Company.
- In all cases, the Company reserves the right to deduct from any amounts already paid a reasonable fee for any pre-production work undertaken up to the date of cancellation. Any remaining balance shall be refunded to the Client within 14 days of cancellation.
FULL STANDARD TERMS AND CONDITIONS
- Definitions & General Terms
- 1.1 – In these Terms and Conditions, the words “Square Daisy” “SD,” “we,” “us,” “our” and “ours” refer to “Square Daisy Limited, a UK registered limited liability company with its registered office at Ntrust House 26 Holmethorpe Avenue, Holmethorpe Industrial Estate, Redhill, Surrey, England, RH1 2NL.
- 1.2 – The words “Client” and “Customer” and “you”/”your” refer to the party who commissioned and/or funded the work and any person or organisation acting on their behalf.
- 1.3 – These Terms and Conditions apply to all photo, graphic, video, and associated audio product created by Square Daisy, including all moving and still images and sound recordings of whatever form.
- 1.4 – Acceptance of a proposal, quotation and/or issue of a purchase order from the client, is acceptance and agreement of the Terms and Conditions stated below, which forms the contract between Square Daisy and the Client.
- Quotation
- 2.1 – All work undertaken will adhere to the agreed-upon quotation, which outlines the work’s scope, estimated duration, deliverables, and associated expenses.
- 2.2 – It is incumbent upon the Client to carefully review and comprehend the quotation before confirming. Any alterations or extra tasks will incur supplementary charges and will only commence following mutual agreement.
- 2.3 – A standard workday constitutes eight (8) hours of crew time on-site or at the designated location (inclusive of breaks and lunch, exclusive of travel time). Any additional work necessitated by the project or client may result in additional charges, all of which shall be agreed mutually by both parties
- 2.4 – Square Daisy reserves the right to amend the quotation in the event of alterations to the project’s scope or requirements. The updated quotation will be submitted to the Client for approval prior to any further action. Unless specified otherwise in the quotation, all expenditures will be included in the final invoice.
- 2.5 – The quotation shall be valid for 30 days from date on the front cover.
- Costs
- 3.1 – During initial consultations or meetings with Square Daisy, expenses related to the project will be thoroughly discussed. While estimates may be provided during these discussions, the final accepted quote and its deliverables will accurately reflect the actual production costs.
- 3.2 – The expenses will vary depending on the nature and duration of the production, as well as the time allocated to pre-production, production, and post-production phases. Any alterations in these aspects throughout the production process may incur additional costs, which will be communicated in writing, mutually agreed upon, and billed to the Client accordingly.
- 3.3 – All expenses pertaining to the agreed-upon project, including but not limited to travel, mileage, accommodation, meals, courier services, postage, international call charges, colour copying, photography and prints, duplication of discs or tapes, creation of audio and video streaming files, and similar items, will be itemised in the final invoice for the project.
- 3.4 – Travel shall be charged at £0.50 per mile, and any other expenses such as accommodation, parking, congestion charge, etc shall be added to the final invoice at cost. No additional expenses shall be incurred without prior authorisation from the Client.
- 3.5 – Voiceover fees shall not be included in the budget and will be recharged as per the quotation provided upon selection of the artist.
- 3.6 – Any equipment required for the production, including cameras, lighting, or other technical equipment, will be quoted separately in the budget section of the quote or contract. Additionally, any crew members such as camera operators, editors, producers, and other production staff will be charged for equipment hire at a rate of £90 per hour, per person, unless otherwise specified in the quote or contract.
- Deposit
- 4.1 – Square Daisy typically requires an advance payment of 50% of the estimated project cost prior to commencement of any work and at the time of signing the production contract. This advance is applied toward covering initial project expenses, including but not limited to pre-production planning, script development, storyboarding, location scouting, casting, and equipment rental. It may also be allocated toward other essential project-related costs. For larger-scale projects, alternative staged payment structures (e.g., 33% / 33% / 34%) may be agreed upon in writing. The advance payment does not determine the final project cost nor does it represent the full scope of project expenses.
- 4.2 – In the event of cancellation by the Client after work has commenced, Square Daisy reserves the right to deduct the cost of any work completed to date — including pre-production and any booked or confirmed filming dates — from the amount already paid. Any remaining balance from the advance payment, after such deductions, may be refunded.
- 4.3 – If the project is completed, the remaining 50% of the total project cost, along with any additional chargeable items or expenses, will be invoiced upon project completion.
- Video Production Agreement
- 5.1 – All endeavours will adhere to the agreed-upon quotation. It is the Client’s responsibility to ensure thorough comprehension before confirming. Any modifications or additional filming days will be billed at our prevailing daily rates.
- 5.2 – The Client must sign a production contract provided by Square Daisy, and the initial payment must be cleared prior to any works being carried out.
- 5.3 – A standard filming day comprises eight (8) hours of crew time on-set or at the designated location, inclusive of breaks and lunch but excluding travel time. Any additional overtime necessitated by the project or client may incur supplementary charges
- 5.4 – The Client is responsible for arranging and managing clear access for video and sound capture. If the Client is organising filming venues, they must ensure our production crew and supporting personnel have unobstructed access to all pertinent locations and contributors. Production delays due to inadequate access or facilities may result in additional charges.
- 5.5 – Any logos provided by the Client shall be in vector format only. Any other format will not be accepted.
- 5.6 – Square Daisy prioritises Health & Safety and reserves the right to withdraw our personnel and/or equipment from a location if safety concerns arise or if our crew encounters abusive or aggressive behaviour. In such instances, the Client bears full liability for any incurred or subsequent costs. Square Daisy will adhere to site safety regulations and coordinate with the designated contact outlined by the Client at all times.
- Additional Content
- 6.1 – Any extra content requested by the Client, which was not initially included in the agreed scope of work, will incur additional charges. Square Daisy will furnish the Client with a new quotation for the additional content, and work will only proceed upon the Client’s approval and signature of the new quotation. Any alterations to the new quotation must also receive written approval from the Client before work begins. The additional content will be invoiced separately from the original project and will adhere to the same terms and conditions outlined in the original agreement.
- Insurance
- 7.1 – Square Daisy will uphold all essential insurance policies, encompassing public liability and professional indemnity insurance, to safeguard its operations concerning the provision of video production services. The insurance coverage details are as follows:
- Professional Indemnity Limit: £1,000,000
- Public Liability Limit of Indemnity: £5,000,000
- Employers’ Liability Limit of Indemnity: £10,000,000
- 7.2 – The Client is tasked with securing and upholding its own insurance coverage for any property, equipment, or personnel necessary for the project. The Client shall indemnify and absolve Square Daisy from any claims, damages, losses, liabilities, expenses, or costs stemming from or associated with any property, equipment, or personnel owned or operated by the Client in relation to the .
- Adverse Weather Conditions
- 8.1 – Should adverse weather conditions arise, Square Daisy retains the authority to reschedule filming or production activities. If the Client opts to proceed with filming or production amid adverse weather conditions, any ensuing delays, loss of quality, or supplementary costs will be the Client’s sole responsibility. In the event of inclement weather during filming or production, Square Daisy will evaluate the circumstances and may halt or postpone work until conditions improve. Any resulting extra costs incurred due to adverse weather conditions will be borne by the Client
- Client Delays
- 9.1 – Should the client contribute to a delay in the production timeline, Square Daisy will not assume responsibility for any resultant additional costs, expenses, or losses. The client bears the responsibility for any delay and must exert all reasonable efforts to uphold the agreed-upon timeline.
- 9.2 – If a delay instigated by the client obstructs Square Daisy from completing the work, Square Daisy retains the right to issue an invoice for work completed thus far and for all expenses accumulated up to the delay’s onset.
- Post-production Feedback and Amendments
- 10.1 – In the video production process, post-production feedback holds significant importance, and we offer up to three rounds of reasonable revisions within the agreed project scope. A round of revisions comprises reasonable alterations or adjustments to the video project achievable within a single feedback cycle. These may include minor modifications to timing, pacing, or visual effects.
- 10.2 – Scope Boundary: Client-requested changes or additions must remain within the project scope initially outlined in the initial quotation. Any alterations exceeding this scope are deemed “out of scope.”
- 10.3 – Out-of-Scope Revisions: It’s crucial to note that out-of-scope changes necessitate a new quote and mutual consent from both parties before further work proceeds. Such amendments may involve significant re-editing, additional filming, or substantial shifts in the project’s direction or objectives.
- 10.4 – Additional Charges: Should the client request more than three rounds of reasonable revisions or any out-of-scope amendments post-final video delivery and approval, additional work will incur charges at our current post-production rate of £90.00 per hour + VAT.
- 10.5 – Mutual Consent: Both parties must mutually agree in writing on the scope of any additional work before commencement. This ensures a clear understanding of the additional work’s nature, extent, and associated costs by both the client and service provider.
- 10.6 – Client Responsibilities for Three Rounds of Revisions:

- Timely Feedback: The Client is accountable for providing clear and timely feedback promptly following each revision round. Delays in feedback may impact project timelines and potentially lead to additional costs for extended revisions. Such costs are at the discretion of Square Daisy.
- Scope Compliance: Client revision requests should align with the originally defined project scope. Any fundamental alterations to project direction or objectives should be communicated separately and agreed upon mutually, as they may necessitate adjustments to project timelines and costs.
- Consolidated Feedback: To streamline the revision process, the client is encouraged to consolidate feedback from all key stakeholders and provide it alongside the web-compressed mp4 file. This should include specific comments, suggested changes, and any visual or written references where applicable.
- Designation of Contact: Efficient communication is maintained by the client designating a single point of contact responsible for coordinating and relaying feedback to our team (hereby the “Designated Contact”). The Designated Contact should be named from the outset of the project and should be the person who gives the final approval. Once agreed, the Designated Contact cannot be changed, unless mutually agreed by both parties.
- Deadline Adherence: The Client is responsible for meeting mutually agreed-upon deadlines for each revision round. Failure to meet deadlines may result in project delays, additional costs, or rescheduling.
- Clear Communication: The Client should express their expectations, preferences, and objectives clearly. Unclear or ambiguous instructions may lead to misinterpretation and necessitate additional revision cycles which the Client must bear the cost of.
- Approval and Sign-off: Upon satisfaction with the final revision round, the Client is responsible for providing formal approval and sign-off. This signifies project completion and initiates subsequent phases such as production or delivery.
- Additional Rounds: Requests exceeding the agreed-upon three revision rounds will be treated as a change in project scope, incurring additional costs and an adjusted timeline. The Client should communicate any such requests promptly.
- Project Duration and Delivery
- 11.1 – Project Commencement: The project will commence on the agreed-upon start date specified in the project timeline. This date will be confirmed in writing.
- 11.2 – Project Timeline: The project timeline, including key milestones and deadlines, will be outlined in the project scope document. The project manager will work diligently to ensure that the project adheres to this timeline. Any changes to the timeline will be communicated and agreed upon by both parties.
- 11.3 – Project Delays: While every effort will be made to complete the project within the specified timeline, the Client acknowledges that unforeseen circumstances may lead to project delays. In such cases, the project manager will promptly notify the client of any potential delays and provide revised timelines.
- 11.4 – Delivery of Deliverables: The Client will receive project deliverables in accordance with the agreed-upon project timeline. All edits will be provided as web compressed mp4 files for universal implementation unless other formats are requested.
- 11.5 – Client’s Role in Timely Delivery: The Client’s timely provision of feedback, approvals, and required materials is essential to ensuring project delivery according to schedule. Delays in Client responsibilities may impact project timelines.
- 11.6 – Partial Delivery: In some cases, project deliverables may be delivered incrementally. The project manager will specify the delivery schedule for such cases.
- 11.7 – Final Delivery and Acceptance: Upon completion of the project, and upon receipt of the final payment, the Client will receive the final project deliverables. The Client shall review these deliverables and provide formal approval and sign-off in writing to signify project completion and acceptance.
- 11.8 – Project Closure: Following Client approval and sign-off, the project will be considered closed. Any further work, amendments, or additional services will be subject to a new agreement.
- Copyright and Ownership
- 12.1 – As a video production company, Square Daisy is dedicated to adhering to copyright laws and respecting ownership of all materials used in our client projects.
- 12.2 – When the Client provides any materials, including logos, images, trademarks, footage, and audio, it is the Client’s responsibility to obtain necessary permissions beforehand from the original copyright holder. By agreeing to these terms and conditions, the Client hereby indemnifies Square Daisy against any claims, disputes, expenses, or similar issues that may arise from breaching copyright laws or pre-existing terms and conditions associated with the material.
- 12.3 – Square Daisy retains all rights to the usage of raw footage captured during the production of any client-commissioned project. However, as part of our video production service, we will grant a time-unlimited license for the use of that footage to the Client, subject always to the following express condition:
- “Square Daisy retains all copyright over any content we produce. A usage license grants the Client permission to use the content in the state in which we provide it to the Client. Permission is not granted to re-edit, copy, or alter the content in any way.”
- 12.4 – We reserve the right to utilise any footage and related files from any client-commissioned project in our showreels and for other promotional purposes.
- 12.5 – Square Daisy assigns to the Client a license to use the video production in its complete delivered form only. We do not grant permission for any material to be altered, edited, or used as part of another production, unless expressly agreed upon in writing.
- 12.6 – Upon receipt of all due payments from the Client as cleared funds in our bank account, and provided the Client is not in breach of anything contained in these Terms and Conditions, the Client is granted a perpetual usage license pertaining to the video material in its delivered form. Until all payments are made in full, the copyright and ownership of all edits and material shot or created remain the full copyright and ownership of Square Daisy. Any unpaid material published will be copyright-claimed by Square Daisy on the publishing platform.
- 12.7 – We retain the right to use any of our copyright material for any legal purpose, including its use within projects for other clients, unless:
- (a) we have granted an exclusive license to any Client or
- (b) the material contains trademarks or specific intellectual or imagery copyrighted by the Client.
- 12.8 – Once a Client approves a project as complete and satisfactory in writing, it will be publicly released by Square Daisy and the Client. Clients are prohibited from releasing any form of preview or work-in-progress content to the public or their end-user.
- 12.9 – By publishing a video into the public domain, the Client acknowledges that it is acceptable for any talent featured in the video, including voiceover artists, contributors, actors, and presenters, to use and publicise their appearance in the video for the purpose of the talent’s own showreel and marketing use (in whole or part use).
- Watermark
- 13.1 – As part of our video production service, Square Daisy maintains the authority to apply a visible or invisible watermark to any content created for the Client. This watermark may feature our company name, logo, or other identifying details. Its purpose is to safeguard our intellectual property and prevent unauthorized use of the content. Removal of the watermark will not be carried out by us unless prior written consent is provided by Square Daisy. Should the Client desire removal of the watermark, a written request is necessary, and a fee may be assessed at our discretion. The Client understands that the presence of the watermark does not impede their rights to use the content as per the agreed usage license.
- Cost of Raw Footage and Project Files
- 14.1 – The Client acknowledges and accepts that the production contract agreed between Square Daisy and the Client covers the time and use of equipment, and the complete and final edit requested only. Square Daisy is under no obligation to provide the Client with request access to the raw footage.
- 14.2 – If the Client does request access to the raw footage, it is Square Daisy’s at complete discretion whether they wish to provide this. For further explanation on the provision of raw footage, click this link
- 14.3 – Cost of Raw Footage: The production fee covers only the final edited content. Raw footage is not included as part of the standard deliverables but may, at Square Daisy’s discretion, be provided for an additional charge, which will be 100% of the original filming or production cost, plus any applicable VAT. Project files (including but not limited to Premiere Pro, After Effects) and animation assets are not included as part of the standard deliverables but may be made available for an additional fee, subject to a separate agreement. Any large transfers requiring substantial time or resources may incur additional handling fees. All raw content is provided “as-is” without any technical support or warranty.Cost of Project Files: The provision of Project Files, encompassing editing timelines, motion graphics, and associated audio and visual elements, incurs an additional charge, with two options available
- a. Basic Project Files: Basic Project Files, comprising editing timelines and related assets, are obtainable at a rate of 50% of the total video project cost, exclusive of Value Added Tax (VAT).
- b. Full Project Files with Intellectual Property (IP) Transfer: Full Project Files, offering the added benefit of intellectual property (IP) transfer solely on the timeline sequences, are accessible at a rate of 100% of the total video project cost, exclusive of Value Added Tax (VAT)
- 14.4 – Custom Pricing for Raw Footage and Project Files: In instances where the client’s project presents unique requirements or complexities deviating from the standard cost structure, custom pricing may be applied for both raw footage and Project Files. This personalised pricing will be determined based on the specific scope, duration, and demands of the project. Clients are encouraged to contact Square Daisy to discuss their requirements and receive a tailored quote.
- 14.5 – Cost of Animation Graphics: Where the Client requests access to animation graphics, these can be provided at an additional cost, and at the complete discretion of Square Daisy.
- 14.6 – VAT (Value Added Tax): VAT is applicable to all fees pertaining to raw footage and Project Files in accordance with local tax regulations. The VAT rate will be specified in the invoice provided to the client.
- Backup and Storage Service:
- 15.1 – Square Daisy provides an optional Backup and Storage Service to securely store your project files, ensuring the Client’s valuable content remains safe and accessible. Please review the following terms and conditions:
- a. Cost of Backup and Storage: Clients opting for this service will incur no additional fee, covering secure storage for one year.
- b. The Backup and Storage Service lasts for one year from the project completion date. Clients can choose to renew it upon expiration.
- c. Data Deletion: If the Client opts not to renew after one year, the Client’s stored files may be deleted to free up storage space.
- d. Renewal Options: To continue using the service, the Client can renew it for another year by paying the fee, exclusive of VAT, ensuring uninterrupted storage.
- 15.2 – Square Daisy prioritises the security and accessibility of your content, but the decision to continue the service or delete data is the Client’s.
- Payment Schedule
- 16.1 – Unless specified otherwise, our payment terms for projects are outlined below:
- a. 50% of the total project value is required as a deposit upon receipt of the invoice following acceptance of the quotation and signing of the production contractThe Client’s production is considered confirmed and scheduled only after this deposit payment has been cleared in Square Daisy’s bank account or after a Purchase Order or similar document has been raised and shared with us. For larger projects, alternative staged payment structures (e.g., 33% / 33% / 34%) may be agreed upon in writing.
- b. The remaining 50% of the total project value is due upon completion of all filming and signing off from content. In the event of cancellation after work has commenced, Square Daisy reserves the right to deduct the cost of any work completed to date, including pre-production and any booked filming dates, from the amount already paid. The remaining balance of the advance payment, after such deductions, may be refunded.
- c. In the case of animation projects the project is payable with a 50% deposit and 50% upon final delivery of all signed off . For larger projects or projects with multiple deliverables over a period of time, a bespoke payment schedule will be agreed upon and added to the production contract.
- d. If the Client makes any payments via cheque, they will be liable to pay a subsequent £25.00 administration charge to Square Daisy.
- Payment Terms
- 17.1 – The 50% deposit is immediately payable upon receipt once the production contract has been signed. Please note that your production slot is not reserved until the deposit payment has been successfully cleared in Square Daisy’s bank account.
- 17.2 – Any subsequent payments dictate a strict 14-day timeframe from the date of the invoice. Upon confirmation of an order, the Client agrees to adhere to these conditions.
- 17.3 – All payments, when feasible, should be processed promptly. If immediate processing is not feasible due to accounting constraints, the payment is still bound by the same 14-day terms.
- Late Fees
- 18.1 – In accordance with the Late Payment of Commercial Debts (Interest) Act, 1998, we retain the right to impose interest and late payment charges on any overdue invoices.
- 18.2 – Should payment not be received within the agreed credit terms, we will enforce our statutory entitlement to claim interest and compensation for recovery costs.
- 18.3 – Following the invoice due date, a late fee amounting to 5% of the invoice value will accrue weekly until the payment is received and cleared in Square Daisy’s bank account.
- 18.4 – The Client assumes responsibility for any collection or legal fees arising from delayed or defaulted payments.
- 18.5 – Square Daisy retains the prerogative to withhold delivery and the granting or continuation of usage licenses for ongoing work if accounts are not up-to-date or overdue invoices remain outstanding. Any licenses granted for the use of our copyrighted material are contingent upon the receipt of full payment, inclusive of additional costs, taxes, expenses, and administrative fees.
- Advance Fee for Services
- 19.1 – To secure the services of Square Daisy for forthcoming projects, the Client may be requested to pay an advance retainer fee. The specific amount of this fee will be subject to negotiation and determined by factors such as the scope, duration, and complexity of the anticipated projects, as well as the reputation and experience of Square Daisy and prevailing market rates for similar services.
- 19.2 – The retainer fee will be securely held by the Square Daisy in a designated account and utilised to cover costs and expenses associated with agreed-upon future projects. Depending on the arrangement, the retainer fee may be non-refundable and will be allocated as credit towards the actual project costs as they are completed.
- 19.3 – Should the Client opt not to proceed with the anticipated projects after remitting the retainer fee, Square Daisy reserves the right to retain the fee as compensation for reserving its services and foregoing other potential opportunities.
- Unsuitable Content
- 20.1 – Square Daisy maintains the right to decline the use, publication, or broadcast of any content it deems obscene, morally objectionable, or in violation of copyright laws. This includes content that is defamatory, libellous, or illegal. In the event of such content submission, the client will be notified of the objectionable material and requested to make necessary amendments. However, if the Client can provide valid justification for including the “unsuitable” content, its inclusion may be evaluated.
- Liability for Errors After Sign-off
- 21.1 – Square Daisy assumes no liability for errors on any medium once the Client has provided written confirmation that the content is accurate and approved for posting, publication, or broadcast.
- Termination of Contract
- 22.1 – The Client reserves the right to terminate the contract by providing written notice of termination and settling any outstanding account balances. Upon contract termination, the Client is obligated to fulfil payment for all work previously completed or in progress by Square Daisy, unless otherwise agreed upon in advance through written agreement.
23. Cancellation Policy
- 23.1 In the event that the Client wishes to cancel the contract, the following policy shall apply, subject to any deduction for pre-production work already completed:
- a. Cancellation more than 15 calendar days before the scheduled commencement of filming – 25% of the deposit shall be retained by the Company.
- b. Cancellation between 6 and 15 calendar days before the scheduled commencement of filming – 50% of the deposit shall be retained by the Company.
- c. Cancellation within 5 calendar days of the scheduled commencement of filming – 100% of the deposit shall be retained by the Company.
- 23.2 In all cases, the Company reserves the right to deduct from any amounts already paid a reasonable fee for any pre-production work undertaken up to the date of cancellation. Any remaining balance shall be refunded to the Client within 14 days of cancellation.
- Deemed Effective
- 24.1 – All Terms and Conditions stated within this document are deemed acceptable to the Client upon receipt of a confirmed order or instruction to proceed given by any means. Including but not limited to:
- a. the provision of Purchase Order;
- b. written or verbal acceptance of a quote;
- c. instruction to book out the studio calendar;
- d. and processing of the deposit invoice.
- 24.2 – This document shall be taken as an agreement between the Client and Square Daisy under UK law.
